Welcome to Revamp. These Terms of Service ("Terms") govern your access to and use of the Revamp website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use our Services.

• "Revamp," "we," "us," or "our" refers to Revamp Inc., the company providing the Services.

• "User Content" refers to any Content submitted, uploaded, or otherwise made available by users for inclusion in the Services, including website URLs for redesign.
• "Generated Content" refers to designs, code, and other materials produced by our AI tools based on User Content.

Account Registration

To use certain features of our Services, you may need to create an account. When you create an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

You must immediately notify Revamp of any unauthorized use of your account or any other breach of security. Revamp will not be liable for any loss or damage arising from your failure to comply with this requirement.

Service Usage and Limitations

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Use the Services to transmit any material that is defamatory, obscene, offensive, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services
• Use the Services to conduct any activity that interferes with or disrupts the Services (or the servers and networks connected to the Services)
• Attempt to reverse engineer any portion of the Services
• Collect or store personal data about other users without their express consent
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity

Service Limitations

Our AI website redesign Services have certain limitations:

• Redesigns are dependent on the quality and accessibility of the source website
• The Services may not be suitable for websites with specific technical requirements, complex functionality, or specialized components
• Performance metrics (speed improvements, SEO scores, etc.) are estimates and not guaranteed
• Generated designs may require further customization or refinement
• We may impose usage limits on certain features and Services

Content and Intellectual Property Rights

User Content

You retain ownership of any User Content you submit to the Services. By submitting User Content, you grant Revamp a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content for the purpose of providing and improving the Services.

You represent and warrant that:

• You own or have obtained all necessary rights and permissions to submit the User Content
• The User Content does not infringe any intellectual property rights or other rights of any third party
• The User Content complies with these Terms and all applicable laws and regulations

Generated Content

Upon full payment of applicable fees, if any, Revamp grants you a worldwide, non-exclusive, perpetual license to use Generated Content created specifically for you through our Services for your personal or business purposes.

This license does not include the right to sublicense, sell, or otherwise distribute the Generated Content as standalone products (e.g., templates, themes, or design packages for resale).

Feedback

If you provide feedback, ideas, suggestions, or recommendations regarding our Services ("Feedback"), you grant Revamp an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose without compensation to you.

Revamp Intellectual Property

The Services and all materials therein, including software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and all intellectual property rights related thereto, are the exclusive property of Revamp and its licensors. Use of the Services does not grant you ownership of any intellectual property rights in our Services.

Payment Terms

Certain aspects of the Services may be provided for a fee. If you elect to use paid features of the Services, you agree to pay all applicable fees as described on our website at the time of your purchase.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes, levies, or duties.

Unless otherwise specified, all fees are non-refundable. We reserve the right to change our fees at any time with notice to you, and such changes will apply to any future billing cycles.

Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REVAMP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

REVAMP MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE QUALITY, ACCURACY, RELIABILITY, SUITABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICES OR ANY CONTENT AVAILABLE THROUGH THE SERVICES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REVAMP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT WILL REVAMP'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Revamp and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall first be resolved through good faith negotiations between the parties. If such dispute cannot be resolved through negotiation, both parties agree to submit to binding arbitration under the rules of the American Arbitration Association, with the arbitration to be conducted in San Francisco, California.

Notwithstanding the foregoing, Revamp may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page with a new effective date. It is your responsibility to check these Terms periodically for changes.

Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Revamp regarding the Services and supersede all prior agreements and understandings.

Waiver: The failure of Revamp to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment: You may not assign these Terms without the prior written consent of Revamp, but Revamp may assign or transfer these Terms without restriction.

Notices: Any notices or other communications provided by Revamp under these Terms will be given by posting to the Services or via email.
